Terms and Conditions

Welcome to Chainworks. These Terms and Conditions ("Terms") govern your access to and use of the Chainworks API services, including our DeFi API, documentation, and related tools (collectively, the "Service"). By signing up for an API key, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

"API" means the Chainworks application programming interface that provides access to blockchain data and transaction submission functionality.

"API Key" means the unique authentication credential issued to you upon registration that grants access to the Service.

"User," "You," "Your" refers to any individual, company, or entity that accesses or uses the Service, including customers, partners, and developers.

"Blockchain" refers to the supported Blockchains including but not limited to Ethereum, Base, BNB Chain, and Solana.

"Transaction" means any operation submitted to a Blockchain through the Service, including but not limited to token transfers, smart contract interactions, and swaps.

2. Acceptance of Terms

By creating an account, obtaining an API Key, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Service Description

Chainworks provides a DeFi API that enables:

  • Access to blockchain data across multiple networks (Ethereum, Base, BNB Chain, Solana)
  • Token analysis and DeFi trading functionality
  • Transaction submission to supported Blockchains
  • Real-time market data and analytics

Important: Chainworks does NOT provide transaction signing capabilities. All transaction signing must be performed by You using your own private keys and signing infrastructure. We act solely as a conduit for submitting your pre-signed transactions to the Blockchains.

4. Account Registration and API Keys

To access the Service, you must register for an account and obtain an API Key. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your API Key
  • Not share, sell, transfer, or sublicense your API Key to any third party
  • Immediately notify Chainworks of any unauthorized use of your API Key
  • Accept full responsibility for all activities that occur under your API Key

Chainworks reserves the right to suspend or revoke your API Key at any time if we suspect unauthorized use or violation of these Terms.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall NOT:

  • Abuse the API: Exceed rate limits, attempt to circumvent usage restrictions, or engage in any activity that degrades the performance or availability of the Service
  • Engage in malicious activities: Use the Service for market manipulation, front-running, sandwich attacks, or any form of exploit targeting other users or protocols
  • Violate laws: Use the Service in violation of any applicable local, state, national, or international law, including anti-money laundering (AML) regulations, sanctions laws, or securities regulations
  • Interfere with the Service: Attempt to probe, scan, or test the vulnerability of the Service, or breach any security or authentication measures
  • Reverse engineer: Decompile, disassemble, or reverse engineer any aspect of the Service
  • Misrepresent identity: Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Redistribute data: Resell, redistribute, or provide access to Service data to third parties without prior written consent from Chainworks

6. Rate Limits and Fair Usage

The Service is subject to rate limits and fair usage policies. You agree to:

  • Respect all documented rate limits and quotas
  • Implement appropriate error handling and backoff strategies
  • Not attempt to circumvent rate limiting mechanisms
  • Contact Chainworks if you require higher rate limits for legitimate use cases

Violation of rate limits may result in temporary or permanent suspension of your API access.

7. User Responsibilities and Obligations

As a User of the Service, you are solely responsible for:

  • Private Key Management: The secure generation, storage, and management of all private keys used to sign transactions. Chainworks never has access to your private keys.
  • Transaction Verification: Reviewing and verifying all transaction details before signing and submitting. Once a transaction is broadcast to a Blockchain, it cannot be reversed.
  • Compliance: Ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction, including but not limited to KYC/AML requirements, tax obligations, and securities laws.
  • Risk Assessment: Understanding and accepting the inherent risks of interacting with Blockchains, including smart contract risks, network congestion, and potential loss of funds.
  • Security: Maintaining the security of your systems, applications, and any integration with the Service.
  • Data Accuracy: Verifying the accuracy of any data retrieved from the Service before making financial decisions.

8. Transaction Submission Disclaimer

When you submit transactions through the Service, you acknowledge and agree that:

  • Chainworks acts solely as a conduit for transmitting your pre-signed transactions to Blockchains
  • We do not validate the business logic, intent, or appropriateness of your transactions
  • Transaction success depends on factors outside our control, including network conditions, gas prices, and smart contract behavior
  • Failed or reverted transactions may still incur network fees (gas), for which you are solely responsible
  • Blockchain transactions are irreversible once confirmed, and Chainworks cannot reverse, cancel, or modify any confirmed transaction

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described therein. You acknowledge that:

  • Blockchain transactions are inherently public and transparent
  • We may collect usage data, API call logs, and analytics to improve the Service
  • We implement reasonable security measures but cannot guarantee absolute security

10. Intellectual Property

The Service, including all content, features, and functionality, is owned by Chainworks and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CHAINWORKS DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The data provided through the Service will be accurate, complete, or current
  • Any defects in the Service will be corrected
  • The Service will meet your specific requirements or expectations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHAINWORKS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use, whether direct or indirect
  • Any losses arising from your transactions on Blockchains
  • Losses resulting from unauthorized access to your API Key or account
  • Losses due to network failures, smart contract bugs, or Blockchain Network issues
  • Losses arising from reliance on data provided by the Service
  • Any damages arising from the use or inability to use the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO CHAINWORKS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Chainworks and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any transactions you conduct through the Service, including any disputes with third parties
  • Your negligence or willful misconduct

14. Service Modifications and Termination

Chainworks reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also terminate or suspend your access to the Service immediately, without prior notice, if:

  • You breach any provision of these Terms
  • We are required to do so by law
  • We detect suspicious or fraudulent activity
  • Continued provision of the Service is no longer commercially viable

Upon termination, your right to use the Service will immediately cease, and your API Key will be revoked.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chainworks regarding the Service and supersede all prior agreements and understandings.
